• Customer and Vendor Pricing Information; discounts given by LHH, vendors, and other parties; names of customers and potential customers; information from customers or vendors which are marked or known to be confidential; payment status and history.
• Confidential Customer/Client Information The nature of services provided by LHH often makes it necessary to collect confidential information from our customers or clients.
This can include, but is not limited to; employment information, background history, and/or any other “personal” information.
Under no circumstances is this information to be disclosed, in any manner other than its intended use by LHH and/or the client or customer.
• Miscellaneous Confidential Information Other information or materials of LHH marked or noticed by LHH as being confidential, whether constituting
a trade secret or not, and whether proprietary or not, which are of value to LHH.
Ownership of Confidential Information
LHH retains exclusive ownership of all rights, titles, and interestsin any confidential information, including confidential and proprietary information rights and any and all worldwide copyrights, trade secrets, and other intellectual property rights. You agree that: (a) the confidential information is proprietary to and valuable information of LHH; (b) LHH derives economic value from the confidential information not being generally known to other persons; (c) LHH has undertaken and continues to undertake substantial efforts to maintain the secrecy and confidentiality of the confidential information; and (d) any disclosure, misappropriation, or unauthorized use of the confidential information could cause irreparable harm
and loss to LHH.
Your Responsibilities
During the time that you are associated with LHH as an employee or contractor, both during and after employment or services to the extent permitted by law, you are required to safeguard the secret and proprietary nature of any confidential information and are not to copy or divulge it to any person, company or entity, other than those who have a need to know in order to benefit LHH.
You are not permitted to use it for your own direct or indirect benefit or advantage, or for the benefit or advantage of any person, company, or entity other than LHH.
The provisions of this Agreement are intended to impose an immediately binding legal obligation on you and will continue and survive despite the termination of this Agreement. You are expected to acknowledge and agree that, by reason of the sensitive nature of the Confidential Information referred to in this Agreement, LHH shall be entitled to obtain equitable relief from a court of competent jurisdiction as may be necessary to protect its interests in such Confidential Information.
Return of Confidential Information
LHH may request at any time, for any reason, that you deliver to LHH all copies of the confidential information held by you. If you separate from LHH for any reason, you are required to deliver to LHH all copies of the confidential information held by you whether or not LHH specifically requests it.
Confidentiality Agreements with Others
You are expected to honor any and all agreements with any of your former employers and avoid using confidential information or trade secrets of another party without permission while employed by LHH.
If you are asked to reveal anyone else’s confidential information or are put in a position in which you believe you may improperly reveal or use such information, you should discuss the situation with your manager before doing anything that you think might violate those agreements.
